Terms of Service

1. Acceptance of These Terms

You may use the Services only if you can form a binding contract with Sprag AI and only in compliance with these Terms and applicable law. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not use the Services.

2. The Services

Sprag AI provides speech and audio inference APIs, developer tools, and related websites and applications. We may modify, suspend, or discontinue any part of the Services at any time. Where changes are material, we will use reasonable efforts to provide advance notice.

3. Accounts and API Keys

You must provide accurate registration information and keep it current. You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account. Notify us promptly at [email protected] if you suspect unauthorized use of your account.

4. Your Content

4.1 Definitions

When you submit audio, text, prompts, files, or other content to the Services ("Input"), the Services may generate and return transcripts, captions, synthesized speech, or other content based on your Input ("Output"). Input and Output are collectively your "Content."

4.2 Ownership

As between you and Sprag AI, you retain all right, title, and interest in your Content. You are responsible for your Content, including ensuring that you have all rights, permissions, and consents necessary to submit it to the Services.

4.3 License to Sprag AI

You hereby grant to Sprag AI a non-exclusive, royalty-free, worldwide license to: (a) use and modify your Content for the purposes of providing the Services to you; and (b) use, reproduce, modify, adapt, and create derivative works from your Content for the purposes of maintaining, developing, and improving the Services, including without limitation, (i) to further develop Sprag AI's products and services, (ii) to perform testing, evaluation, and benchmarking, and (iii) to train Sprag AI's artificial intelligence and machine learning models.

4.4 Training Opt-Out

You may opt out of Sprag AI's use of your Content to train its artificial intelligence and machine learning models at any time by contacting [email protected]. Opt-outs apply prospectively to Content submitted after your request is processed.

5. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law or regulation, or infringe the rights of others.
• Clone, synthesize, or imitate a person's voice without their consent, or create Output intended to deceive others about its origin or authenticity.
• Submit content containing another person's personal data without a lawful basis for doing so.
• Interfere with or disrupt the Services, circumvent usage limits or security controls, or attempt to reverse engineer the models underlying the Services.
• Resell or redistribute the Services without our prior written consent.

6. Fees and Payment

Paid features of the Services are billed according to the pricing published on our website or set out in a separate agreement with us. Fees are exclusive of taxes, which you are responsible for paying. We may change our pricing with reasonable advance notice; changes apply to billing periods that begin after the notice.

7. Intellectual Property

Sprag AI and its licensors retain all right, title, and interest in the Services, including our software, models, and documentation. No rights are granted to you other than as expressly set out in these Terms. If you provide feedback or suggestions about the Services, we may use them without restriction or obligation to you.

8. Privacy

Our collection and use of personal information in connection with the Services is described in our Privacy Policy.

9. Third-Party Services

The Services may link to or interoperate with third-party platforms and tools (e.g., GitHub). Those services are governed by their own terms and privacy policies, and we are not responsible for them.

10. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Output is generated by machine learning systems and may contain errors or inaccuracies; you are responsible for evaluating Output before relying on it.

11. Limitation of Liability

To the maximum extent permitted by law, Sprag AI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising out of or in connection with the Services. Our total liability under these Terms will not exceed the greater of the amounts you paid us for the Services in the twelve months preceding the claim or one hundred U.S. dollars (USD 100).

12. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services if you materially breach these Terms, if required by law, or if we discontinue the Services. Sections of these Terms that by their nature should survive termination (including Sections 4.3, 7, 10, and 11) will survive.

13. Changes to These Terms

We may update these Terms from time to time. Updates will be posted here with a revised "Last updated" date, and we will use reasonable efforts to notify you of material changes before they take effect. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of these Terms or the Services will be resolved in the state or federal courts located in San Francisco County, California, and you consent to their jurisdiction.
